Website Terms of Use
Welcome to the Prosper website (the Site), operated by Australian Good Food Guide Publishing Pty Ltd (AGFG, we, us, our). In these terms, references to the Site also include the Prosper weekly tips email and any other Prosper-related communications, content or materials we make available to you (together, the Prosper Channels). By using the Site or any other Prosper Channel, you agree to these terms. If you do not agree, please do not use them.
1. Who We Are
Prosper is a service of AGFG that curates offers, tools and weekly tips for Australian restaurant operators. The Site is the main place where you can browse current partner offers, subscribe to our weekly tips and find out more about Prosper.
2. Using the Site
You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of the Site by, anyone else. You must not attempt to interfere with the Site, introduce malicious code, or impersonate another person or business.
You also must not, without our prior written consent: scrape, harvest, copy or systematically extract content from the Site or any other Prosper Channel by any means (whether automated or manual); use any automated tool, robot, spider, crawler or similar technology to access or extract content; or use any content from the Site or any other Prosper Channel to develop, train, fine-tune, evaluate or improve any artificial intelligence or machine learning model, dataset or product.
We may change, suspend or withdraw any part of the Site at any time and without notice. We will try not to disrupt regular users, but we cannot guarantee the Site will always be available or error-free.
We may also suspend or terminate your access to the Site and any other Prosper Channel at any time, with or without notice, where we reasonably believe you have breached these terms or used the Site or any other Prosper Channel unlawfully or in a way that may harm AGFG, our partners or other users. Any suspension or termination under this clause does not give rise to any liability on the part of AGFG.
3. Partner Offers — Important Information
The offers featured on the Site are provided by independent third-party businesses (our partners), not by AGFG. We curate them and we do basic vetting of the partners we work with, but we do not provide the underlying products or services and we do not guarantee any particular outcome.
What “vetting” means. When we describe partners as “vetted”, we mean that we have made basic enquiries to confirm the partner is an operating Australian business that has experience working with the hospitality industry. We do not conduct a financial, legal, technical or due-diligence audit of the partner or its products or services, we do not independently verify every claim a partner makes, and we do not warrant the partner’s solvency, capability or ongoing performance. Our curation is a starting point for your own enquiries, not a substitute for them.
How partner offers are identified. Offers and content provided by partners are identified as such on the Site (for example, with a “Partner offer” label or similar). You should treat any content marked in this way as commercial in nature, and not as independent editorial content or as advice from AGFG.
Commercial relationships with partners. You should assume that AGFG may receive payment, commissions, incentives or other benefits from partners in exchange for promoting their offers through Prosper. The presence of an offer on the Site does not mean it is the best or cheapest option in the market — it may mean the partner has agreed to a commercial arrangement with us.
No endorsement of partner statements. Statements, claims, comparisons and representations contained in partner offers or partner-supplied content are those of the partner, not AGFG. We do not endorse or adopt those statements as our own. We reserve the right (but are not obliged) to edit, decline to publish, or remove any partner content at our discretion, including where we consider it inaccurate, misleading, defamatory or otherwise inappropriate.
Do your own homework. Before taking up any offer, you should make your own enquiries, read the partner’s own terms, and where appropriate get independent professional advice (legal, financial, accounting or otherwise). What suits one operator may not suit another. The decision to take up an offer is yours alone.
Not advice. Information on the Site, including in weekly tips and offer descriptions, is general in nature. It is not financial, legal, tax or business advice and is not tailored to your circumstances.
4. No Responsibility for Partner Conduct
Once you contact a partner or take up an offer, your dealings are directly with that partner. AGFG is not a party to any contract you enter into with a partner and is not responsible for:
- the quality, suitability, performance or pricing of any product or service the partner provides;
- the accuracy of statements made by partners about their own products or services;
- any loss or damage arising out of your relationship with a partner; or
- any change to partner pricing, terms or availability after the offer is published.
5. Intellectual Property
All content on the Site — including text, graphics, logos, the Prosper and AGFG names, the look and feel, weekly tips and curated offer descriptions — is owned by or licensed to AGFG, and is protected by Australian and international copyright and trade mark laws.
AGFG grants you a limited, non-exclusive, non-transferable and revocable licence to view, share and use Site content for the internal purposes of your own restaurant or hospitality business (for example, sharing a weekly tip with your team or referring an offer to a colleague). You must not republish, sell, sub-licence or otherwise commercially exploit Site content, or hold it out as your own, without our prior written permission.
Partner names, logos and trade marks remain the property of the relevant partners and are used on the Site with their permission for the purpose of promoting their offers.
6. Submissions, Sign-ups and Weekly Tips
If you submit information to us through the Site (for example, signing up for the weekly tips or expressing interest in an offer), you confirm that the information is accurate and that you are authorised to provide it. We will handle any personal information in line with our Privacy Policy, available on the Site.
Where you express interest in a partner offer, you understand and agree that we may pass your details on to the relevant partner so they can follow up with you about the offer.
Weekly tips and consent under the Spam Act. By subscribing to our weekly tips email, you consent to AGFG sending you commercial electronic messages for the purposes of the Spam Act 2003 (Cth). Each message will identify AGFG as the sender and will include a functional unsubscribe facility. You can withdraw your consent and stop receiving messages at any time by using the unsubscribe link in any message we send you, or by contacting us.
7. User-Submitted Content
If you send us content other than basic sign-up information — for example, testimonials, photos, written feedback, case studies or material proposed for a feature — you grant AGFG a non-exclusive, royalty-free, worldwide licence to use, reproduce, edit and publish that content in connection with Prosper, AGFG and our promotional activities. You confirm that you own the content or have all necessary rights to grant that licence, and that the content does not infringe any third party’s rights or breach any law.
8. Your Indemnity to AGFG
You agree to indemnify AGFG and hold us harmless against any claim, loss, damage, cost or expense (including reasonable legal costs) that we suffer or incur as a result of your breach of these terms, your unlawful or unauthorised use of the Site, or any content you submit to or through the Site. This indemnity does not apply to the extent that the relevant loss is caused or contributed to by AGFG’s own negligence, wilful misconduct or breach of these terms.
9. Third-Party Links
The Site contains links to partner websites and other third-party sites. Those sites are not under our control. A link is not an endorsement of everything on the linked site, and we are not responsible for its content, security or practices. You access third-party sites at your own risk and subject to their terms.
10. Cookies, Analytics and Tracking
The Site uses cookies, analytics tools and similar technologies to help us understand how the Site is used, to improve content and functionality, and to measure the performance of partner offers. Some of these technologies may be provided by third parties and may collect information about your visit. Most browsers allow you to control cookies through their settings. Further detail on what we collect and how we use it is set out in our Privacy Policy.
11. Disclaimers and Liability
To the maximum extent permitted by law, the Site and its content are provided on an “as is” and “as available” basis. We do not warrant that the Site will be uninterrupted, that information will be free of errors, or that the Site or its servers are free of viruses or other harmful components.
Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law. Subject to those, AGFG is not liable for any loss, damage, cost or expense (including indirect, consequential or economic loss) arising from or in connection with your use of the Site, your reliance on any content on the Site, or your dealings with any partner.
If, despite the above, AGFG is found to be liable to you in connection with the Site, our total aggregate liability to you for all claims is limited to AUD $100. This cap does not apply to any liability that cannot lawfully be limited or excluded, including liability arising under the Australian Consumer Law to the extent it cannot be excluded.
12. Privacy
AGFG handles personal information collected through the Site in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Our Privacy Policy explains in more detail how we collect, use, store and disclose personal information, how you can ask to access or correct your personal information, and how you can make a privacy complaint. By using the Site, you agree to the handling of your information as described in that policy.
We may update the Privacy Policy from time to time. The current version is always available on the Site. If there is any inconsistency between these terms and the Privacy Policy on a privacy matter, the Privacy Policy prevails.
13. Assignment and Change of Control
AGFG may assign, novate or otherwise transfer the benefit and burden of these terms to a related body corporate or to a third party in connection with a sale, restructure or change of control of the Prosper business or the AGFG group. You may not assign or transfer your rights under these terms without our prior written consent.
14. Changes to These Terms
We may update these terms from time to time. The current version will always be available on the Site and applies from the date it is posted. Continued use of the Site after a change means you accept the updated terms.
If a change is materially detrimental to you, we will give you reasonable advance notice of the change (for example, by email or through a prominent notice on the Site). If you do not accept the change, you may stop using the Site and unsubscribe from any Prosper Channels at any time.
15. General
These terms, together with our Privacy Policy, are the entire agreement between you and AGFG in relation to your use of the Site, and supersede any prior representations, understandings or arrangements between us on that subject.
If any part of these terms is found to be unenforceable, the rest stays in effect. A failure or delay by AGFG in enforcing any term is not a waiver of the right to enforce it later.
16. Australian Audience
The Site and the other Prosper Channels are directed at restaurant and hospitality operators in Australia. Content, offers and pricing are framed with an Australian audience in mind. We do not represent that the Site or any partner offer is appropriate or available for use in any other jurisdiction. If you choose to access the Site or use any other Prosper Channel from outside Australia, you do so at your own initiative and you are responsible for compliance with any local laws.
17. Governing Law
These terms are governed by the laws of Queensland, Australia. You and AGFG submit to the non-exclusive jurisdiction of the courts of that state for any matter arising out of your use of the Site.
